L'estinzione compensativa nel contratto di factoring

The credit transferred by the factoring contract represents a utility suscettible of economic evaluation from the moment of the conclusion of that contract, and for this reason it is capable to integrate its object and to determine effects. The transferred debtor can oppose to the transferee his own credit against the transferor creditor and this power is compliant with principles governing the structure and the function of the factoring contract. The article 1248 second paragraph of civil code does not prevent this power.

Il credito ceduto nell’àmbito di un contratto di factoring è utilità suscettibile di valutazione economica sin dal momento della stipulazione e, come tale, idonea ad integrarne l’oggetto e a determinarne gli effetti. Il debitore ceduto può opporre al cessionario il proprio controcredito nei confronti del cedente, in linea con i princípi che governano la struttura e la funzione del contratto di factoring, senza che a ciò possa ostare la disposizione di cui all’art. 1248, comma 2, c.c.
